License Agreement

Status: preliminary plain-language version. A lawyer-reviewed version replaces it before Early Access opens.

LOCKMARGIN END USER LICENSE AGREEMENT (EULA)
Effective: September 2, 2026. Plain-language version. This agreement governs your use of LockMargin. The Refund Policy and the Privacy Policy on lockmargin.com are part of this agreement.

1. What you get.

The source code and all intellectual property in LockMargin remain owned by Vlad Shiyan (LockMargin). What you buy is a perpetual, non-exclusive right to use the specific version you purchased. Think of it like buying a book: you own your copy, you don't own the copyright. This is not a subscription and not a rental. You are not paying for ongoing access; you are buying a copy to use indefinitely. You own your data completely. You do not own the code itself.

2. Scope: one person, your machines.

The license covers one natural person and the machines that person owns or controls for their own use. There is no fixed device limit: a desktop, a laptop, a VM you use for testing - your devices, not your team's shared devices. Personal and commercial use are both allowed. The license is personal. It may not be resold, rented, or used as a site license.

3. What you may not do.

You may not: (a) redistribute, resell, rent, or sublicense the software or your license key; (b) reverse engineer, decompile, or modify the software, except where the law does not allow this restriction; (c) remove copyright, trademark, or license notices; (d) circumvent the license mechanism; (e) use the LockMargin name or logo to endorse anything without written permission - except to truthfully state that you use LockMargin, for example "I use LockMargin for invoicing."

4. Your data is yours.

I have no access to your data and no ability to recover it. The software stores everything in one encrypted file on your machine. Backups are your responsibility. LockMargin provides backup tools; using them is up to you.

5. Data portability.

Your data lives in a single encrypted file in standard SQLite format. You can export it at any time with the built-in export tools (JSON, CSV, PDF). The schema is documented in the open-source data layer at github.com/vladsh444/lockmargin-data-layer, so you can migrate to other tools if you ever want to. I do not lock you in.

6. No phone-home.

The software never contacts LockMargin servers: no activation calls, no update checks, no usage statistics, no telemetry. Activation is pasting your signed license key on a new machine; the app verifies it locally with a public key it already has. Updates are optional downloads you initiate manually from the website. If an update checker ever appears, it will be opt-in, and the license check will never ride along with it. If a security fix ever demands a "please update" prompt, it ships as a signed manual download plus an opt-in checker. If LockMargin disappears, your copy keeps working.

7. Keys are personal.

Your license key is issued to you personally. Sharing it violates this agreement. I cannot technically revoke a leaked key - that is a deliberate design choice to keep the software offline and yours. A leaked key does not make sharing lawful. For systematic piracy I reserve the right to pursue legal remedies; for individual breaches I rely on your honesty rather than technical enforcement.

8. Version scope (grandfathering).

The version you bought is governed by the terms in effect at the time of purchase. Buy v1, you own v1.x - patches and platform fixes included, for as long as the software runs. Later changes to this agreement do not reduce rights you already acquired. A major version (v2) is a new purchase. The test for the boundary: could a v1 buyer reasonably say "I paid for that?" If yes, it ships as a v1.x update. Platform compatibility stays v1.x forever; otherwise "you own it" quietly becomes "you own it until Windows changes something."

9. Tiers and upgrades.

LockMargin has two tiers. Start is free to try - up to 5 clients, 5 projects a month, unlimited invoices, no account, no card. Standard is $49 one-time - unlimited everything, custom PDF branding, priority support. Tier features are described on the pricing page at the time of purchase. Standard users get 50% off major upgrades; that discount is a separate benefit, not part of the original entitlement.

10. No warranty; limitation of liability.

The software is provided "as is". To the maximum extent permitted by law, my total liability for any claim is limited to the amount you paid for the software. Some jurisdictions do not allow this limitation; in that case, liability is limited to the minimum allowed.

11. Refunds.

Because LockMargin is delivered as an immediate download, the EU right of withdrawal for digital content does not apply once downloading has begun (Directive 2011/83/EU, Art. 16(m)). The Refund Policy at lockmargin.com/refund-policy.html is part of this agreement and is more generous than the law requires. Nothing in this section reduces your mandatory consumer rights.

12. Feedback.

Bug reports and feature suggestions may be used to improve the product without obligation or compensation. If you submit a detailed design or invention you believe has independent value, tell me in writing before submitting - we can agree on terms separately.

13. Third-party components.

LockMargin includes third-party components (Rust, Tauri, SQLite, and others), each under its own license. Those licenses apply to those components.

14. Children.

LockMargin is a desktop application for professional use. It is not directed at children under 16.

15. Governing law and disputes.

This agreement is governed by the laws of Ukraine. If you are a consumer residing elsewhere, mandatory consumer-protection laws of your country apply to the extent they cannot be waived. If you are an EU consumer, you may also use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr); I will engage with it in good faith.

16. Changes to this agreement.

The latest version of this agreement lives at lockmargin.com/license.html. I may revise it, but revisions never reduce rights you already acquired under Section 8.

17. Severability; entire agreement; contact.

If one clause turns out to be unenforceable, the rest still apply. This agreement, together with the Refund Policy and the Privacy Policy, is the entire agreement about the software. Legal notices: support@lockmargin.com.
