License Agreement

1. License Grant

Subject to the terms of this Agreement and your payment of the applicable fee, LockMargin grants you a non-exclusive, non-transferable, perpetual license to use the LockMargin software on up to:

• Standard License ($59): 1 device, unlimited clients/projects/invoices
• Agency License ($149): Up to 5 devices, unlimited clients/projects/invoices, custom PDF branding

2. Restrictions

You may NOT:

• Redistribute, sublicense, or resell the software
• Reverse engineer, decompile, or disassemble the software
• Use the software for illegal purposes
• Remove any proprietary notices or labels on the software

3. Ownership

LockMargin is owned by LockMargin LLC. The software is licensed, not sold. All rights not expressly granted to you are reserved by LockMargin.

4. Updates and Support

You are entitled to receive all updates and minor releases for your licensed version. Major version upgrades may require an additional fee. Priority support is included with Agency licenses.

5. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LOCKMARGIN DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

6. Limitation of Liability

IN NO EVENT SHALL LOCKMARGIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

7. Termination

This license is effective until terminated. It will terminate automatically without notice if you fail to comply with any provision of this Agreement.

8. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which LockMargin LLC is registered.
